Țuca Zbârcea & Asociații acts on EUR 12.35 billion GE-Alstom deal
Țuca Zbârcea & Asociații, a top-notch Romanian law firm, advised General Electric (GE) on the acquisition of the power and grid businesses of French conglomerate Alstom.
Alstom’s shares were transferred on 2 November 2015, with post-closing procedures to be completed in the near future.
GE reached an agreement with Alstom to purchase Alstom’s power and grid businesses for €12.35 billion. The takeover process was accelerated over the last months of the year so as to take place simultaneously on all the EU markets and in jurisdictions such as Brazil, India or South Africa. In Romania, the transaction involved the takeover of Alstom’s shares in Alstom General Turbo SA and Alstom Grid Romania SRL by GE.
Slaughter and May took the lead role advising GE on the international aspects of the transaction, while a Bucharest based team from Țuca Zbârcea & Asociații worked for GE on the Romanian law aspects of the deal which is GE’s largest-ever industrial acquisition.
Țuca Zbârcea & Asociații handled mainly the corporate aspects of the transaction, which consisted in structuring, adjusting and implementing the necessary stages for takeover of target companies in Romania. Ștefan Damian (Deputy Managing Partner) led the team consisting of Horia Ispas (Managing Associate), Sergiu Crețu (Senior Associate) and other on/off team members.
