Advising two financial institutions (acting in a consortium) on the largest single entity portfolio sold in a CEE country worth EUR 1.2 billion.
Advising one of the largest credit institutions in Romania, acting as security agent, on two financing transactions amounting in aggregate to EUR 277,000,000 granted for the financing of the world's largest manufacturer of wood panel products and laminate flooring. Our team advised on all Romanian law issues related to the financing transactions.
Advising on the largest portfolio transfer in Romania regarding a retail business of a Romanian branch of a credit institution for around EUR 315,000,000 in assets and EUR 230,000,000 in liabilities. A multidisciplinary team of lawyers specialising in corporate and M&A, as well as banking/finance, competition and employment law, together with a team of tax advisors assisted the client in relation to all aspects of the transaction.
Advising two financial institutions part of the same group on taking over the corporate business of a Romanian branch of a credit institution, comprising a portfolio of aggregate assets of around EUR 260,000,000 and corporate deposits of EUR 315,000,000.
Assisting in relation to the largest retail non-performing loan portfolio (NPL) sold in Romania. Our team advised the buyers on taking over an NPL portfolio worth EUR 597,000,000.
Advising one of the largest alternative investment funds on an EUR 325,000,000 Senior Secured Floating Rate Notes Offering. Our law firm advised on the Romanian aspects incident to the deal.
Advising on a EUR 360,000,000 (face value) transaction regarding an NPL portfolio of two financial institutions part of the same group. The advice covered all steps of the transaction, the firm having acted as sole legal advisor to the consortium of buyers in relation to the financing, corporate/M&A, insolvency, real estate, tax related issues pertaining to the transfer of a portfolio of non-performing loans.
Assistance in relation to the financing of the development and operation of the largest onshore wind farm in Europe. The financing of the project is structured on two different senior facilities with a value of EUR 260,000,000 from a syndicate of creditors and EUR 200,000,000 from an investment fund.
Advising on a senior loan of RON 675,000,000 (EUR 152,000,000 equivalent) provided to a Romanian company by the European Bank for Reconstruction and Development (EBRD) for the purpose of financing company’s investment program.
Advising the Romanian subsidiary of an international industrial group on all the Romanian law matters related to its accession to EUR 240,000,000 senior and mezzanine finance documentation, as guarantor, and the establishment of securities over its assets.
Assisting in relation to the issuance of up to EUR 190,000,000 Super-senior Secured PIYC Floating Rate Notes by one of the largest construction companies. Our role included advising on the Romanian law issues of the transaction, including advice on the Romanian security documents.
Advising a syndicate of banks in relation to the EUR 90,000,000 credit facilities and subsequent increase to EUR 110,000,000 credit facilities made available to one of the leading providers of medical services on the Romanian market, and its group companies.
Assistance in relation to a EUR 200,000,000 corporate senior unsecured loan for the financing of the construction of a new power plant, the first 100% private power generation project in Romania, a market where virtually all power generation capacities of this size are State owned. Furthermore, our team assisted the bank in relation to another EUR 300,000,000 corporate senior unsecured loan as part of an overall strategic environmental investment program aiming at rehabilitating or enhancing the environmental and health and safety performance of facilities in the exploration and production and refining divisions of the borrower.
Legal assistance in relation to the EUR 50,000,000 financing granted to a Romanian real estate developer, converting the development loan into investment loan, as well as an additional financing of EUR 3,000,000.
Advising a global leader investment bank and an investment management company in relation to the financing of the acquisition of a downtown Bucharest office building and a shopping center from an investment fund. The assistance included both advising on acquisition matters, as well as financing facilities granted to the Romanian SPVs.
